Welcome to CinaptixAI. These Terms of Service (“Terms”) form a binding agreement between you (“you”, “your”) and CinaptixAI (“CinaptixAI”, “we”, “us”, “our”) governing your access to and use of the CinaptixAI website, web application, API, mobile applications and any related services (collectively, the “Service”). By creating an account, accessing or using the Service, you agree to these Terms and to our Privacy Policy and Disclaimer. If you do not agree, do not use the Service.
1. Who we are
CinaptixAI is an idea-capture and knowledge-refinement platform operated from Canada. Questions about these Terms can be directed to legal@cinaptixai.com.
2. Eligibility and account
- You must be at least 16 years old, or the age of digital consent in your jurisdiction, whichever is higher. We do not knowingly permit anyone under 13 to register, and you must provide a valid date of birth at sign-up. Parents or guardians who believe a child has registered should contact privacy@cinaptixai.com.
- By creating an account you represent that you have read and agreed to these Terms, our Privacy Policy and our Disclaimer, and you authorise us to record a timestamp of that agreement.
- You must provide accurate registration information and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- Notify us promptly at security@cinaptixai.com if you believe your account has been compromised.
- We may suspend or terminate accounts that violate these Terms, pose a security risk, or appear to be operated by bots, scrapers, or impersonators.
3. The Service
The Service enables you to capture ideas (text, voice, image, file), have them enriched and connected by AI models, search and graph your idea library, and manage your content. Features, limits, and behaviour may change over time as we improve the Service.
4. Plans, billing and refunds
- The Service offers a free tier (Spark) and paid tiers (Canvas, Studio, Atelier). Tier features and limits are described on the Pricing page and may be updated from time to time.
- Paid subscriptions are billed in advance through Stripe on a recurring monthly basis (or annually where offered) until cancelled. By clicking the “Choose” button on the Pricing page and completing Stripe checkout, you expressly consent to recurring charges to your payment method at the stated price until you cancel.
- Prices are shown in USD unless otherwise indicated and are exclusive of applicable taxes. Where required by law (for example, Canadian GST/HST/QST/PST), applicable taxes will be added at checkout.
- Cancellation. You may upgrade, downgrade, or cancel at any time from your Profile page (“Manage subscription”), which opens the Stripe Billing Portal — no phone call, email, or support ticket is required. Cancellations take effect at the end of the current billing period; you retain paid access until then.
- Renewal reminders. Stripe sends automated receipts on each renewal. Annual subscribers receive a renewal reminder at least 15 days before renewal where required by law.
- Refunds. You may request a full refund within 14 days of your initial paid purchase if you have made minimal use of paid features. After 14 days, fees are non-refundable except where required by law (including Canadian and EU consumer-protection statutes). We may, at our discretion, offer pro-rated refunds for service outages, billing errors, or inadvertent renewals reported within 30 days.
- Chargebacks. If you believe a charge is in error, please contact support@cinaptixai.com before initiating a chargeback so we can resolve it directly. Fraudulent chargebacks may result in account suspension.
- If a payment fails, we may suspend paid features until the payment is resolved. Unpaid subscriptions are demoted to the Spark tier; your data is preserved for 90 days, after which we may delete content that exceeds Spark-tier limits.
5. Your content
- Ownership. You retain all rights, title and interest in and to the ideas, files, voice recordings, images, and other content you submit to the Service (“Your Content”).
- Licence to us. You grant CinaptixAI a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you, to generate AI enrichments you request, and to secure, back up, and debug the Service. This licence ends when you delete Your Content or close your account, except where we are required to retain copies for legal, accounting, or security reasons.
- No model training. We do not use Your Content to train our AI models or third-party AI models. Where supported, we call third-party AI APIs with retention disabled (for example, OpenAI’s
store: falseparameter), and OpenAI’s API policy separately confirms it does not train on API data. We do not sell Your Content. - Deletion and export. You can delete individual ideas, export all of your data (JSON), or delete your entire account from your Profile page at any time. Deleted content is purged from live systems within 30 days and from encrypted backups on our normal rotation cycle (typically within 90 days).
- Responsibility. You are solely responsible for Your Content, including its legality and your right to submit it. Do not upload content you do not have the right to submit.
6. Acceptable use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right (including intellectual property, privacy, and publicity rights).
- Upload or generate content that is unlawful, defamatory, harassing, threatening, hateful, sexually explicit involving minors, or that promotes violence or self-harm.
- Attempt to reverse engineer, decompile, or probe the Service, its AI models, or its infrastructure except to the extent permitted by mandatory law.
- Circumvent rate limits, quotas, or access controls; use the Service to build a competing product by scraping; or resell the Service without our written permission.
- Introduce malware, conduct denial-of-service attacks, or attempt to gain unauthorised access to any account, system, or data.
- Use the Service to make consequential decisions about other individuals (for example, credit, employment, housing, insurance, or legal matters) without independent human review. See our Disclaimer.
- Impersonate another person or misrepresent your affiliation.
7. AI-generated content
- The Service uses large language models and other machine-learning systems (collectively, “AI”) to enrich, summarise, connect and transcribe Your Content. AI outputs are probabilistic and may be inaccurate, incomplete, biased, or out-of-date.
- AI outputs are suggestions only. You are responsible for reviewing and validating them before relying on them. See our Disclaimer for the full scope of what AI outputs are not.
- Similar AI outputs may be produced for other users on similar inputs. To the extent you gain rights to AI outputs you request, you accept that those outputs may not be unique.
- Some AI processing is performed by third-party providers (for example, OpenAI’s Whisper for transcription). By using the Service you authorise us to transmit the relevant portions of Your Content to those providers solely to produce the requested output.
8. Third-party services
The Service integrates with third-party providers including, without limitation, Stripe (payments), SendGrid or SMTP (email), OpenAI (AI), and our hosting providers. Your use of those third-party services is subject to their own terms and privacy practices, which we do not control. A current list of sub-processors is published at /pages/subprocessors and updated before material changes take effect.
9. Intellectual property
The Service, including all software, designs, trademarks, logos, copy, graphics, and underlying technology (but excluding Your Content), is owned by CinaptixAI or its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.
10. Privacy
Our Privacy Policy describes how we collect, use, disclose, and protect personal information. Canadian users are protected under the federal Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation (including Quebec’s Law 25, Alberta’s PIPA, and BC’s PIPA). EEA/UK users are protected under GDPR / UK GDPR.
11. Security and breach notification
We take reasonable technical and organisational measures to protect the Service, including encryption at rest for sensitive fields, HTTPS in transit, hashed credentials, and audit logging. No system is perfectly secure, however, and you use the Service at your own risk.
If a personal-data breach is reasonably likely to result in a risk to your rights and freedoms, we will notify affected users and, where applicable, the relevant supervisory authority without undue delay, and in any case within 72 hours of becoming aware of the breach (or such shorter period as applicable law requires). Notification will be made by email to the address on your account and/or an in-app notice.
11a. Copyright & DMCA
We respond to clear and complete notices of alleged copyright infringement in accordance with the US Digital Millennium Copyright Act and Canada’s notice-and-notice regime. Our designated agent, notice format, and counter-notice procedure are described on our DMCA & Copyright Policy page. Copyright notices should be sent to dmca@cinaptixai.com. Repeat infringers will have their accounts terminated.
12. Service availability and changes
- We strive to keep the Service available but make no uptime guarantee. Scheduled maintenance, provider outages, security incidents, and force-majeure events can cause interruptions.
- We may add, modify, or discontinue features at any time. If we make a material adverse change, we will give reasonable notice (for example, via email or an in-app notice).
13. Termination
- You may close your account at any time from your Profile page or by emailing support@cinaptixai.com.
- We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, the law, or another user’s rights, or if required by law.
- On termination, your right to use the Service ends. Provisions that by their nature should survive termination (for example, ownership, disclaimers, limitations of liability, indemnity, governing law) will survive.
14. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory or otherwise, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Service will be uninterrupted, secure, accurate, or error-free. We do not warrant that AI outputs will be correct, complete, current, or suitable for any particular purpose.
Nothing in these Terms limits warranties or remedies that cannot be limited under applicable law, including mandatory Canadian consumer-protection statutes.
15. Limitation of liability
To the maximum extent permitted by law, CinaptixAI and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, whether based in contract, tort, negligence, strict liability, or any other legal theory, and whether or not we were advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of (a) the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.
16. Indemnity
You will defend, indemnify, and hold harmless CinaptixAI and its personnel from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content; (b) your use of the Service in violation of these Terms or applicable law; or (c) your infringement of any third-party right.
17. Governing law and disputes
- These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
- You and CinaptixAI agree to the exclusive jurisdiction of the courts located in Ontario, Canada, for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
- If you are a consumer resident in a jurisdiction that grants you a mandatory right to bring proceedings in your local courts or under your local laws, nothing in this section removes that right.
- Any claim must be brought within one (1) year after the cause of action arises, or it will be permanently barred, except where a longer period is mandated by law.
18. Export and sanctions compliance
You represent that you are not located in, under the control of, or a national or resident of any country, or on any list, subject to economic sanctions administered by Canada, the United States, the United Kingdom, the European Union, or the United Nations that would prohibit your use of the Service.
19. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will provide notice (for example, by email or an in-app notice) before it takes effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
20. General
- Entire agreement. These Terms, together with our Privacy Policy and Disclaimer, are the entire agreement between you and CinaptixAI regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
- Waiver. Our failure to enforce any provision is not a waiver of that provision.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. We may provide notices by email to the address on your account or by posting in the Service. You must send legal notices to legal@cinaptixai.com.
- Language. Where a translation of these Terms is provided for convenience, the English version controls in the event of a conflict, subject to any mandatory local-language requirements (including Quebec’s French-language rules where applicable).
